In plain terms: this website is marketing material, not advice, and reading it does not make you a client. Consulting work is contracted separately in a written engagement letter, and that letter — not this page — governs the work. Everything on the site belongs to us unless it says otherwise.
This summary is here to be readable. The sections below are the ones that actually govern.
1. Who these terms are with
This website is operated by Amanorn Solutions, a sole proprietorship carried on by Norman Sallah, based in Toronto, Ontario, Canada. In these terms, “we”, “us” and “our” mean that business, and “you” means anyone who uses the site.
By using amanornsolutions.com you agree to these terms. If you do not agree to them, please do not use the site.
2. What this site is
This site describes the consulting services we offer and shows examples of past work. It is general information about our business, published in good faith. It is not an offer capable of acceptance, a price list, a proposal, or a commitment to take on any particular piece of work.
Descriptions of our approach, timelines and typical outcomes are general. What we would actually do for you, on what schedule, at what price, and to what standard, is set out only in a written engagement letter or statement of work signed by both of us.
3. No advice, and no client relationship
Nothing on this site is professional, legal, tax, accounting, financial, investment, customs, immigration or regulatory advice, and nothing here should be relied on as a substitute for advice from a qualified professional who knows your circumstances. Where we describe work in areas such as international trade, import and export processes, or operations, we are describing consulting services, not giving advice on how the law applies to you.
Reading this site, sending us an enquiry, or receiving an initial reply does not create a consulting relationship, a retainer, or any duty of care to you. That relationship begins only when we have both signed an engagement letter.
Do not act, or refrain from acting, on the basis of anything published here without taking appropriate professional advice. To the fullest extent the law allows, we are not liable for anything done or not done in reliance on the site's content.
4. Acceptable use
You may read, browse, and print or download pages of this site for your own information or to evaluate whether to work with us. You may not:
- use the site for any unlawful purpose, or in breach of any applicable law;
- copy, republish, resell or commercially exploit its content beyond what section 8 permits;
- attempt to gain unauthorised access to the site, its host, or any connected system;
- introduce malware, or interfere with the site's operation or availability;
- scrape, harvest or systematically extract content or contact details, including for training a machine learning model, without our written permission;
- use the contact form or our contact details to send spam, bulk unsolicited commercial messages, or anything abusive, defamatory or deceptive; or
- impersonate any person or misrepresent your affiliation with anyone.
We may restrict or refuse access to anyone who breaches this section.
5. Enquiries and quotes
Sending an enquiry through the contact form places you under no obligation, and places us under none either. We aim to reply within one business day, but that is a target we work to, not a guaranteed response time, and we are free to decline any enquiry without giving a reason.
Any indication of price given before an engagement letter is an estimate for discussion. It is not binding, and it may change once the scope is understood.
6. How engagements are contracted
Consulting work is contracted in a separate written engagement letter or statement of work, which sets out the scope, deliverables, timing, fees, payment terms, confidentiality, ownership of work product, and how either of us may end the engagement.
Where an engagement letter and these terms conflict, the engagement letter governs for that engagement. These terms continue to govern your use of this website.
7. Fees and payment
Fees, invoicing, currency, expenses and payment timing are set in the engagement letter. Our normal practice is to invoice for work delivered rather than to take payment in advance. Where a prepayment or deposit is agreed in a particular engagement, how it is treated on cancellation is covered by our Refund Policy and by that engagement letter.
Fees are exclusive of applicable sales taxes, duties and withholding unless the engagement letter says otherwise, and you are responsible for those where they apply. Late payment may be charged interest at the rate stated in the engagement letter, or, if none is stated, at the rate allowed by law.
8. Our intellectual property
The design, layout, text, graphics, logo, code and structure of this site are owned by us or licensed to us, and are protected by copyright and other intellectual property laws. The name and logo “Amanorn Solutions” are our trade marks.
You may print or download extracts for your own non-commercial reference. You may not otherwise copy, adapt, publish, distribute or use our content commercially, or remove any copyright or attribution notice, without our prior written permission.
The three typefaces used on this site are licensed under the SIL Open Font License 1.1 and are the property of their respective authors; the licence text is published at /assets/fonts/LICENSE.txt.
Ownership of work product created during a client engagement is dealt with in the engagement letter, not here.
9. Third-party marks and client work
Product and company names shown on this site — including the software tools listed beside each service — are the trade marks of their respective owners. We name them to describe the tools we work in. Their appearance does not indicate any partnership with, sponsorship by, certification by or endorsement from those companies.
Client work shown in the Work section is displayed with the client's permission. The client's brand, content and website remain the property of that client. We do not host, operate or control any client site shown in a preview, and its content may change without our knowledge. The Work section also shows The Yard, a student app that we build and operate on its own domain; using it is governed by its own rules and privacy policy at the-yardgh.com, not by these terms.
10. Links and embedded content
This site links to, and embeds live previews of, two websites: a client's website, which we do not operate, and The Yard, which we operate on its own domain. Each preview loads automatically when the globe in the Work section turns to it while you are on that section, which connects your browser to that site. Our Cookie Policy explains what this means and how to prevent it.
We do not endorse, control or take responsibility for any third-party site, its content, its availability, its security, or its handling of your data. Once you open or load a third-party site, that site's own terms and privacy policy apply to you.
Our preview frames are interactive. Anything you enter into one is submitted to the site in the frame, not to amanornsolutions.com. For a client's site we neither receive nor process it; for The Yard it is handled under The Yard's own privacy policy. We are not a party to, and accept no responsibility for, any booking, payment or other transaction you enter into with a third party, whether you reach them through a preview frame or through a link on this site. For bookings and payments we ask that you use the link that takes you to their own site, where your browser's address bar identifies the operator.
11. Availability of the site
We aim to keep the site available, but we do not guarantee that it will be uninterrupted, timely, error-free or free of harmful components. We may change, suspend or withdraw all or part of the site at any time without notice. Content may become out of date, and we are under no obligation to update it.
12. Disclaimers
Subject to section 17, the site and its content are provided “as is” and “as available”, without warranty or condition of any kind, whether express, implied or statutory. To the fullest extent permitted by law we disclaim all implied warranties and conditions, including those of merchantability, merchantable quality, fitness for a particular purpose, durability, title and non-infringement.
We do not warrant that the information on this site is complete, accurate or current, or that it is appropriate for your particular circumstances or your jurisdiction.
13. Limitation of liability
Subject to section 17, and to the fullest extent permitted by law:
- we are not liable for any indirect, incidental, special, consequential, exemplary or punitive loss, or for loss of profit, revenue, business, goodwill, opportunity, anticipated saving, or data, however caused, whether in contract, tort (including negligence), statute or otherwise, even if we were told such loss was possible;
- our total aggregate liability arising out of or in connection with your use of this website, and any information on it, is limited to CAD $100; and
- our liability arising out of a consulting engagement is limited as set out in the engagement letter for that engagement, and this section does not increase or extend it.
This limitation reflects that the site is free to use and that no fee is paid for the information published on it.
14. Indemnity
You agree to indemnify us against any claim, loss, liability, cost or expense (including reasonable legal fees) arising from your breach of these terms, your misuse of the site, or your infringement of anyone else's rights through your use of the site. This does not apply to the extent the claim arises from our own breach or negligence, and it does not apply where you are dealing as a consumer and the law does not permit such an indemnity.
15. Privacy and messages you send us
Our Privacy Policy explains what we do with personal information, and our Cookie Policy explains what the site stores in your browser. Both form part of these terms.
Do not send us confidential or sensitive information in a first message. Until an engagement letter and, where appropriate, a confidentiality agreement are in place, we cannot treat an unsolicited message as confidential, though in practice we do not share enquiries with anyone.
We do not send marketing or promotional email to addresses collected through this site. If we ever do, we will ask for your consent first as Canada's anti-spam legislation requires, identify ourselves clearly, and include a working unsubscribe mechanism in every message.
16. Governing law and jurisdiction
These terms, and any dispute arising out of them or out of your use of this site, are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict of laws rules. You and we submit to the exclusive jurisdiction of the courts of Ontario, Canada.
The site is operated from Canada. We make no representation that its content is appropriate or available for use in any other place. If you access it from elsewhere, you do so on your own initiative and are responsible for complying with your own local laws.
17. Rights we cannot exclude
Nothing in these terms limits or excludes:
- liability for death or personal injury caused by negligence;
- liability for fraud or fraudulent misrepresentation;
- any liability that cannot lawfully be limited or excluded; or
- rights you have as a consumer under the Ontario Consumer Protection Act, 2002, or under the mandatory consumer protection law of the country where you live.
If a court finds that any exclusion or limitation in these terms goes further than the law allows, it applies only to the extent the law does allow.
18. Changes to these terms
We may update these terms from time to time. The version published here when you use the site is the version that applies to that use, and the “last updated” date shows when it changed. Changes do not affect an engagement already under way, which continues under its own engagement letter.
19. General
Severability. If any provision is found unenforceable, the rest continues in force.
No waiver. If we do not enforce a right, that is not a waiver of it.
Assignment. You may not assign your rights under these terms. We may assign ours as part of a transfer of the business.
Entire agreement. These terms, with the Privacy Policy, Cookie Policy and Refund Policy, are the whole agreement between us about your use of this site, and replace anything said before. Nothing here limits liability for fraudulent misrepresentation.
No third-party rights. Nobody other than you and us has any right to enforce these terms.
Force majeure. Neither of us is liable for a failure to perform caused by something genuinely outside our reasonable control.
